TRANSPARENCY REQUIREMENTS

FSF is a Florida Not for Profit Corporation and qualifies under section 501(c)(3) of the Internal Revenue Code. FSF filed amended and restated articles of incorporation on December 15, 2023, with the Florida Department of State’s Division of Corporations. FSF agrees to comply with the specific provisions herein and all applicable provisions of sections 288.1229, 20.058, 215.981, and chapter 617, F.S., as amended.

Transparency Related Duties and Obligations

Business Operations – Travel, Bans and other requirements
I FSF must comply with following per diem and travel expense promotion, in keeping with s. 112.061 F.S.
a. Board members and employees are entitled to receive reimbursement for per diem and travel expenses.
b. FSF shall ensure that travel and expense reimbursements made to vendors are in accordance with a travel and expense policy established by FSF.

II FSF shall ensure it conducts annual public records and public meetings training for its employees.

III. FSF shall ensure it adopts an employee ethics code modeled after the provisions of the Florida Code of Ethics for Public Officers and Employees and shall name a Chief Ethics Officer.

IV. To satisfy the periodic training requirements set forth herein, FSF shall deliver (i) an attendance sheet detailing the names of FSF personnel who attended, (ii) the date of the training course, (iii) the name and subject matter covered in the training course, and (iv) copies of any handouts or curriculum material used in the training course.

V. FSF shall not create or establish any other entity, corporation, or direct support organization otherwise authorized by law.

VI. Meeting Materials: FSF Shall provide a virtual meeting option and all materials provided to the FSF Board of Directors simultaneously with providing the information to the FSF Board members or the public, whichever occurs first. Examples include but are not limited to announcements, agendas and board meeting materials in relation to Board of Directors, Executive Board of Directors and Committee meetings.

Contract Requirements

I. Any contract entered between FSF and any other public or private entity shall include:

  1. The purpose of the contract; total cost of the contract; name of contact information of all the contract’s project managers; commercially reasonable safeguards against nonperformance and cancellation provisions; specific performance standards and responsibilities for each entry; A details project or contract budget, value of any services provided; and the projected travel and other related expenses

Purchasing Requirements
I. FSF shall ensue it adopts and implements a purchasing procedure modeled after Chapter 287, F.S. The purchasing procedure must, at a minimum, contact the following elements

All purchasing decisions are conducted in a transparent manner; Foster competition to ensure FSF received the best value possible; require the approval  of FSF president prior to entering a contact that is exempt from the competitive process because the services or commodities are available only from a single source or other reason; a contract more than $500,000 be published on the FSF website at least five business days prior to executive and FSF’s Board of Directors and all competitors be notified at the time of publication; take advantage of contracts negotiated by the Department of Management Services to the greatest extent possible.

Website Requirements

I. FSF Website must: Conspicuously post FSF Code of Ethics; Allow users to navigate to related sites to view supporting details; enable a taxpayer to email questions to FSF and make sure question and responses publicly viewable.

Compensation requirements:

I. Board members shall serve without compensation; no employee, including an officer or agent, the President, or the chief executive officer, may receive public compensation for employment that exceeds the salary and benefits authorized to be paid to the Governor; any pubic payments of performance bonuses or severance pay to employees are prohibited unless specifically authorized by law; should FSF use public payments for performance bonuses or severance pay the legal authorization must be provided to the Agreement Manager via email prior to any such payment
